PitPro Software License Agreement

This Agreement is between Randall Jay Saunders, Owner ("Licensor"), and the shop owner named in the signup form ("Licensee").

1. License Grant

The Licensor grants the Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the PitPro Shop Management System solely for internal business operations at the licensed location.

The Licensee shall NOT sublicense, resell, reverse engineer, copy, or use the Software to build a competing product.

2. Ownership

Software: The Licensor retains sole and exclusive ownership of the PitPro software, all code, interfaces, databases, and documentation.

Vehicle Data: All vehicle mechanical, service, and modification data entered into the Software becomes the exclusive property of the Licensor and contributes to the shared PitPro Network.

Customer Data: Customer personal information remains private to the Licensee. The Licensor will never sell, share, or exploit customer data for any purpose.

3. Network Participation

By using the PitPro Network, the Licensee agrees that vehicle service data will be shared anonymously across all licensed shops. No shop identity is revealed. In return, the Licensee gains access to the accumulated vehicle intelligence of the entire network.

4. License Fees

Monthly License: $120.00 per month
Annual License: $1,000.00 per year (saves $440)

Fees are due in advance. Non-payment within 10 days may result in suspension. Fees are non-refundable except at Licensor's discretion.

5. Confidentiality

The Licensee agrees to keep confidential all pricing terms, technical information about the Software, and the identity of other shops on the PitPro Network. This obligation survives termination for 3 years.

6. Non-Competition

For 2 years after termination, the Licensee agrees not to develop or market a competing shop management platform with a shared vehicle intelligence network. For 1 year after termination, the Licensee agrees not to solicit other PitPro licensees to leave the network.

7. Term and Termination

Either party may terminate with 30 days written notice. The Licensor may terminate immediately for non-payment, material breach, or fraudulent activity. Upon termination, Software access is revoked immediately.

8. Limitation of Liability

The Software is provided "as is." The Licensor's total liability shall not exceed fees paid in the prior 3 months. The Licensor is not liable for indirect or consequential damages.

9. Governing Law

This Agreement is governed by the laws of the State of Michigan. Disputes shall be resolved in Muskegon County, Michigan.

Service Authorization Agreement

I, the undersigned, hereby authorize this shop to perform the service(s) listed above on my vehicle. I understand and agree to the following terms:

1. AUTHORIZATION & OIL TYPE

I authorize the use of the oil type and viscosity specified above, as recommended for my vehicle. I acknowledge that I have been informed of all available oil options and have agreed to the selection indicated.

2. LIABILITY WAIVER

I understand that the shop is not responsible for pre-existing conditions, wear, or mechanical failures unrelated to the services performed today. The shop's liability is limited to the cost of services rendered.

3. PRE-EXISTING DAMAGE

I acknowledge that any damage, conditions, or deficiencies noted below were present prior to service. The shop is not responsible for these pre-existing conditions.

4. TPMS & TIRE DISCLAIMER

Tire pressure has been checked and adjusted to manufacturer specifications where possible. TPMS sensors are not serviced as part of this visit unless specifically authorized. The shop is not responsible for TPMS sensor malfunctions unrelated to this service.

5. ENVIRONMENTAL & HAZMAT FEES

A nominal environmental and hazardous materials disposal fee may be applied to cover the cost of proper disposal of used motor oil, filters, and other fluids in accordance with state and federal regulations.

SECTION 1 — SERVICES INCLUDED

This Bronze Tier Maintenance Contract entitles the customer to four (4) oil change service visits per calendar year, scheduled approximately once every three (3) months. Each visit includes the following at no additional charge:

Engine oil change using the agreed oil type and viscosity
All standard fluid top-offs (washer fluid, coolant, power steering, brake fluid visual check)
Tire pressure check and fill to manufacturer specifications
Exterior window cleaning (front and rear)

This contract does not include tire rotations, inspections, filter replacements, wiper blades, or any other services unless specifically requested and separately authorized by the customer at time of service. No upsells will be offered.

SECTION 2 — CONTRACT TERM & PAYMENT

This contract runs for a period of twelve (12) months from the date of signing. The customer agrees to pay either:

Monthly: — per month, due on the same date each month
Annual: — paid in full at signing — saves the equivalent of two (2) monthly payments

The price stated in this contract is locked for the full twelve-month term. No price increases will be applied during the active contract period.

SECTION 3 — MISSED PAYMENTS & MISSED VISITS

If a monthly payment is missed:

Service will not be rendered during the month in which payment was missed
The contract term will be extended by one (1) month for each missed payment
The missed visit is forfeited — it does not carry over or accumulate

If the customer misses a scheduled visit without a missed payment, that visit is forfeited. Visits do not roll over. Upon early termination by the customer, the customer agrees to pay the balance of services already rendered at the standard per-visit rate if the payments made do not cover services received.

SECTION 4 — GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any disputes arising under this contract shall be resolved in the appropriate court of jurisdiction in the State of Michigan.

SECTION 5 — ACKNOWLEDGMENT

By signing below, the customer acknowledges that they have read, understood, and agree to all terms of this Bronze Tier Maintenance Contract. The customer understands this is a binding twelve-month service agreement.

Cabin air filter inspection — replaced once per year if needed, shop supplies filter
Engine air filter inspection — replaced once per year if needed, shop supplies filter

Filters are inspected at every visit and replaced only when necessary, not on a fixed schedule. The shop reserves the right to transition to washable/reusable K&N-style filters at no additional cost to the customer. No upsells will be offered. Additional services are available only upon specific customer request.

This contract runs for a period of twelve (12) months from the date of signing. The customer agrees to pay either:

This Platinum Tier Maintenance Contract entitles the customer to four (4) service visits per calendar year, scheduled approximately once every three (3) months. Each visit includes the following at no additional charge:

Engine oil change using the agreed oil type and viscosity
All standard fluid top-offs (washer fluid, coolant, power steering, brake fluid visual check)
Tire pressure check and fill to manufacturer specifications
Exterior window cleaning (front and rear)
Cabin air filter inspection — replaced when necessary, shop supplies, max one (1) per year
Engine air filter inspection — replaced when necessary, shop supplies, max one (1) per year
Premium wiper blades — inspected every visit, replaced when necessary, shop supplies, max two (2) sets per year
Incandescent bulb replacements — up to four (4) bulbs per contract year, shop supplies
Serpentine belt replacement — one (1) replacement when necessary per contract year, shop supplies

All components are inspected at every visit and replaced only when necessary. Bulb replacements are limited to standard incandescent bulbs. LED, HID, or specialty bulbs are not covered under this plan. Serpentine belt replacement is limited to one (1) standard belt per year. All parts are supplied by the shop and are fully included in the monthly rate — no additional charges will apply. No upsells will be offered.

SECTION 2 — CONTRACT TERM & PAYMENT

This contract runs for a period of twelve (12) months from the date of signing. The customer agrees to pay either:

Monthly: — per month, due on the same date each month
Annual: — paid in full at signing — saves the equivalent of two (2) monthly payments

The price stated in this contract is locked for the full twelve-month term. No price increases will be applied during the active contract period.

SECTION 3 — MISSED PAYMENTS & MISSED VISITS

If a monthly payment is missed:

Service will not be rendered during the month in which payment was missed
The contract term will be extended by one (1) month for each missed payment
The missed visit is forfeited — it does not carry over or accumulate

Upon early termination, the customer agrees to pay the balance of services already rendered at the standard per-visit rate if payments made do not cover services received.
